Types of Contract

The main types of contracts we deal with include:

  • Framework Agreements – A set of terms and conditions are agreed which will govern the relationship and facilitates a number of different projects.
  • Research Contracts – Often industrial funded, where the terms and conditions are agreed for the conduct of a specific project, setting out the responsibilities, roles and rights of parties.
  • Collaboration Agreements – Usually put in to place with partners on a research council funded project, to formalise the transfer of funds and setting out the roles and responsibilities of the parties.
  • Confidentiality / (Non-Disclosure) Agreements (CDA or NDA) – This kind of agreement is put into place for early stage discussions as it protects intellectual property, sensitive and/or confidential information during discussions with partners.
  • Material Transfer Agreements - Required when material (including biological materials, compounds, equipment, prototypes, data) are to be transferred into or out of the University.
  • Subcontracts – Used to flow down the terms of a funder agreement to a party contributing to a project.
  • Consultancy /Service Agreements - Used where an academic is being asked to provide a specific piece of expertise advice.
  • Clinical Trial – A contract used to formalise arrangements for a clinical trial, usually working in partnership for a local NHS Trust partner and a clinical trials unit.
  • Studentships - A contract governing the terms of a postgraduate project that is fully or part-funded (as in CASE or doctoral training scheme) by an external usually industrial party.
  • Data - A Data Transfer Agreement (DTA) is an agreement to transfer data. DTA will be used for the transfer of anonymised data, pseudonymised or personal data, as the arrangement could potentially be complex, please refer to the Information Governance Office website for more detailed information.
  • Student Experience Related Agreements – with a wide variety of partners, often international, to support the enhancement of the student experience including to widen participation and for student exchanges, international work placements and volunteering.
